Welcome to Pickle & Chip LLC (“Pickle & Chip”, “We”, “Us” or “Company”). Please read these Terms and Conditions (“Terms”) carefully before using thewww.pickleandchip.com website (the “Service”, “Site”) operated by us. Your access to and use of the service is conditioned on your acceptance of and compliance with these terms. These terms apply to all visitors, users and others who access or use the service. If you do not agree to these terms, you may not use the website. Pickle & Chip has a right to revise these terms at any time without notice or liability by updating this Terms and Conditions Agreement (the “Agreement”). If you continue the use of services after any revisions you will be deemed to accept the revisions.

General Terms

You may not use our products, services or site for any illegal or unauthorized purpose nor may you, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws).

We reserve the right to refuse service to anyone for any reason at any time.

We may decline an order, for any reason or no reason, and may cancel any accepted order at any time.

To use our service you must be at least 18 years of age. By using this service you confirm that you are over 18 years of age.

You are responsible to maintain the confidentiality of your Pickle & Chip online account and fully responsible for all the activities that occur under your Pickle & Chip account.

You must not transmit any viruses or worms or any code of a destructive nature.

Proprietary Rights

Subject to these terms, we grant you a limited, non-sublicensable, non-transferable, revocable license to access the service along with its content and make a personal use of it.

No parts of this site, including content, logo, layout, design, images, graphics, service names might be duplicated, sold, distributed, visited or exploited otherwise for any commercial use. Pickle & Chip does not grant permission to use any logos, images, layouts, content, design, trademarks, service names, button icons, organization or software without written consent. All rights reserved.

Privacy and Data Collection

Your personal and credit card information is used to provide you with services or to sell goods, including payment and delivery. Your email address data may be used for direct email marketing purposes. You agree to allow us to use your data.

Shipments and Sales Territory

Pickle & Chip only provides services within the United States of America. Shipping charges are included in the price of the box. Applicable sales tax might be added to your order depending on your location and sales tax rate at the date of purchase. Pickle and Chip ships monthly subscription boxes around the 15th of each month, one-time boxes are shipped within 3 to 5 business days after the purchase is complete and payment for the service has been received. You are responsible for arranging for an individual to be present at the time of your delivery and for the products to be properly received and secured. We recommend to secure received items immediately upon delivery. Any individual accepting delivery at the provided address is presumed to be authorized to receive the delivery. Pickle & Chip is not responsible if delivery was received by an unauthorized person.

For subscriptions in case of change of address, you must notify us before the 10th of each month.

Even though we try to maintain shipments dates accurate, a delay may occur due to severe weather conditions, emergencies, strikes, acts of government authorities and other reasons that are out of our control.

Billing and Payments

You agree to provide accurate payment information for all purchases. You agree to update your address, contact and billing information in a timely manner, so we can process payments and contact you as needed. In the event that we make a change or cancel an order, we may contact you via the provided email, phone number or by billing address.

If an incorrect, expired or declined card was processed, we reserve the right to collect payment for such transaction, you will be liable for any fees, including but not limited to attorney’s fees and collection costs that we may incur in our efforts to collect an unpaid balance, plus interest.

We reserve the right to deny orders that, in our sole judgment, are placed by resellers, dealers, distributors or any other companies for commercial purposes. We reserve the right to refuse or cancel your order if fraud or an unauthorized transaction is suspected.

For one-time box purchases, your credit card or other payment method will be charged upon submission of the order. For 3, 6, or 9-month subscriptions purchases the initial charge will be processed upon the submission of the order, for subsequent months your credit card or other payment method will be charged on the 1st of each month until the end of the subscription term. Our monthly billing cycle starts on the 1st of each month and ends on the last day of then-current month. You accept responsibility for all recurring payments prior to cancellation. Your subscription will be continued during successive monthly periods at then-current subscription rate.  WE DO NOT AUTOMATICALLY RENEW YOUR SUBSCRIPTION AFTER THE END OF YOUR SUBSCRIPTION TERM. Pickle & Chip offers 3, 6, 9 months subscription terms.

Modifications to Prices and Services

Prices for our services are subject to change at any time without notice. We shall not be liable to you or any third party for any modification of product or service or price change.

Cancellation

You may cancel your 3, 6 or 9-month subscription at any time by sending an email to support@pickleandchip.com. In order to cancel, you must email your request at least 48 hours before your next renewal billing charge (the 1st of each month). You will still receive all boxes that have been paid for but you will not be charged for any subsequent months.

Returns and Refunds  

Pickle & Chip does not offer any returns, refunds or exchanges, as all sales are final.

If you have received a damaged item, please email us at support@pickleandchip.com. You will be asked to provide pictures of damaged items, and you may be issued a replacement item at no additional cost. We do not provide refunds for returned products that are damaged due to mishandling, accident, lack of care or other misuses. All missing or damaged items must be reported within 14 days of shipping to qualify for a replacement or refund.

If you are dissatisfied with an item that you have received in a box, please contact us at support@pickleandchip.com within 14 days of shipping.

Disclaimers and Limitation of Liability

We do not guarantee that your use of our service will be timely, uninterrupted, secure or error-free. We do not warrant that the results obtained from the use of the service will be accurate or reliable. Pickle & Chip reserves the right to modify or discontinue the services without prior notice to you. We do not guarantee that users will have access to our services at all times. We do not guarantee that the information accessible on the website, including price or product information, is accurate and up to date, we reserve the right to correct such errors, inaccuracies or omissions at any time without prior notice.

NEITHER PICKLE & CHIP’S MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, INTERNS ARE MEDICAL PROFESSIONALS OR QUALIFIED TO PROVIDE MEDICAL ADVICE. WE RECOMMEND TO CONSULT WITH YOUR MEDICAL PROVIDER TO DETERMINE WHETHER PRODUCTS SENT TO YOU BY US ARE SAFE FOR YOUR CONSUMPTION. We recommend reading a list of full ingredients and nutritional information on the package of each item prior to consumption. Products in the box might contain milk, wheat, soy, eggs, peanuts, tree nuts, seafood.

We do not warrant that the results from using a certain product will be reliable or accurate. You agree that your use of the products provided by Pickle & Chip is at your own risk. We, including our members, officers, employees, agents, affiliates, contractors, interns are not liable for any damages unless such damages are the result of our negligent or reckless acts. We are not, in any case, liable for any indirect, incidental, consequential or special damages.

Despite all precautions that we take to secure the data we receive, we make no guarantee that data provided will not be accessed, destroyed, changed by breach of firewall or secure server software. We are not responsible for circumvention of any security measures on the website.

Indemnification

You agree to indemnify, defend and hold harmless Pickle & Chip, including itsmembers, officers, employees, agents, affiliates, contractors, interns, suppliers from any claims, demands, losses, liabilities, expenses, costs and damages of every kind and nature, known or unknown, including reasonable attorney’s fees, expert witness fees, and costs of litigation resulting from any violations of this agreement by you or any other person accessing the website using your Internet account.

Governing Law

This website is created and controlled by Pickle & Chip in the State of Virginia, USA.  Therefore Virginia State laws shall govern this agreement. Any dispute may be brought by you in a state or federal court located in or closest to Alexandria, Virginia. Any claim that may arise with respect to the service must be commenced within one year after the claim or cause of action arises.
